Get information on a typical contract signed between 2 investment banks

I am looking for examples of cooperation agreements that can exist between 2 investment banks ([login to view URL]) on their M&A services activity ([login to view URL]). More specifically, some investment banks can seek to partner with another investment bank for different reasons (usually to complement each other’s strength). Let’s take a few example with investment bank A (IBA) and investment bank B (IBB):

- IBA and IBB are not active in the same geography – they can establish a cooperation agreement to help each other in the geography where they are active. For instance, if IBA is active in geography A and has a client that want to expand in geography B (where IBB is active), then IBA can introduce the client to IBB who will provide him services on geography B

- IBA and IBB are not active on the same segments of clients: let’s assume that IBA is working exclusively with large clients (for transactions above USD 200M), whereas IBB is working only with smaller clients (transactions less than USD 200M). If IBB gets in close relationship with a client that is too large for them, then they can propose the client to IBA. Usually these kinds of partnership are agreed between a large investment bank, that targets mainly large clients, and smaller investment banks (that are called “boutiques”) that work with smaller clients.

- IBA and IBB are not active in the same industries: IBA covers only clients in the industrial sectors while IBB covers clients only in the services sectors, etc.

I am looking in priority for examples of “soft” cooperation agreement, like “cooperation framework” or “Memorandum of Understanding” (MoU), between a large investment bank and a smaller one (a “boutique”), where the 2 banks agree to provide each other’s services and assistance but where there is no strong commitments and no penalties if the contract is not fully applied by the parties. I am also interested in examples of stronger cooperation agreements that binds them (for instance if IBA is a shareholder of IBB, of if they share a common brand…).

For the examples you will find, I would like to :

- Have the names of the banks that partner and a quick description of the content of partnership

- As much information as possible on the content of the partnership (what is in the contract)

- Ideally, examples of such contracts / cooperation frameworks / MoU

 Most importantly, I am not looking for as many examples as possible, but I am looking for a few detailed examples, with much information about the content of the partnership and I would like to get at least 2-3 examples of contract / cooperation frameworks / MoU. I indeed need to understand better the content and the form of such partnership.

To illustrate, here is an example of the kind of partnership I am looking for: [login to view URL] (partnership between Nomura, which is a large investment bank active worldwide but mainly in Asia, and NLA which is a smaller investment bank – a boutique – active mainly in Africa). To give you the context of my research, I am developing a small investment bank (a boutique), active in Africa and I would like to partner with a large international bank, to i) have access to their international clients that want to expand in Africa and ii) introduce them to large clients in Africa that needs M&A services that my boutique will not be able to offer at the beginning. If you can find examples as close as possible as what I am looking for, that would be perfect.

Examples or investment banks active in M&A (these are just examples, there are of course a lot more, especially when it comes to boutiques) : JP Morgan, Rothschild & Cie, Credit Suisse, Morgan Stanley, Bank of America Merrill Lynch, Goldman Sachs, HSBC, UBS, BNP Paribas, Standard Chartered, Deutsche Bank, Citigroup, Lazard, Société Générale Macquarie Capital, Nomura, Greenhill, Evercore, Houlihan Lokey, Rabobank, Natixis, Crédit agricole Corporate and Investment Bank, Barclays, Standard Bank, DC Advisory Partners, Lincoln International, Clairfield, Swicorp, Clearwater International.
