Hi I am looking for someone to draft me a demand letter. My situation is My business partner, opened a small retail shop. While the renovations were being completed she offered me a partnership. Her husband had provided the funds for the business. I had agreed to pay back my portion of the expenses through the profits of the business. I did not feel comfortable with the way the business was being run so after about 6 months I decided to leave the business.
Specifically, from a financial standpoint, her husband had collected all profits of the business and I was not paid. He would not provide me with the details for what cost determined the total cost of the actual cost business. My mother and cousin worked for the business as well and they were not paid. My business partner said they would need to be paid out of my portion of the profits since they were working on my behalf however I did not collect any profits to pay them. They will be filing separately with the labor commission for payment. From a legal standpoint, I was concerned that my business partner had hired an employee and paid her under the table to work on her behalf. This cost was taken out of the business. We also collected sales tax however it was not remitted. This made me feel uncomfortable, so I left the business and asked to sign a dissolution agreement. After agreeing verbally to sign the agreement and paying me back $5000 that I had originally invested considering the work that I did a loss, my business partner refused to meet to have it signed by saying she was too busy. Later I discovered that they had sold the business about 1 or 2 months after I left. When asked about it, they stated that they had given the business away for no money. I asked for documents stating this however they refused to provide it. I then asked again to sign a dissolution agreement of the partnership. They agreed to again and agreed to pay me $5000 however they changed their mind and told me to take them to court. Attached is a copy of the agreement we had signed originally signed. I plan to take them to small claims court and would like a demand letter drafted. Included in the demand letter a persuasive argument why I should get $10,000 for the time I put in and a copy of any documents I may need for tax purposes. Business expenses, P/L statements, etc... Also, an agreement that I will not be liable for any of the tax issues that may arise.
